1. Terms of Service


  1. These Terms of Service set out the standard Alliance Business Technologies terms and conditions that are specific to the Microsoft New Commerce Experience (NCE) subscription services.
  2. Before purchasing and committing to any subscription term commitments the customer agrees that they have read and understood these terms and conditions of sale.

2. The Microsoft New Commerce Experience (NCE) Subscription Services


  1. Subscription Services and Term Commitment Types 
    1. The NCE Services available to customers: 
      1. Monthly Commitment 
      2. Yearly Commitment 
  2. Minimum Term Commitment: 
    1. Your Microsoft NCE Subscription Services has a minimum term of: 
      1. in respect of Monthly Commitment subscriptions – one (1) month; and 
      2. in respect of Yearly Commitment subscriptions – twelve (12) months. 
    2. At the end of the Minimum Term Commitment, the customer will remain on their chosen subscription(s) and auto-renew for another term. If any of the customers’ Microsoft NCE subscription services are no longer available, Alliance Business Technologies may move the customer onto another Microsoft NCE subscription services that is comparable or ask the customer to select another Microsoft NCE subscription service. Alliance Business Technologies will provide the customer with reasonable notice if this is to occur. If the client wishes to cancel, they must advise ABT in writing 30 days prior to the renewal date.

3. Purchasing of Subscriptions and Licenses


  1. Orders and charges
    1. Customers will be able to purchase a mixture of subscription services and term commitment types.
    2. Alliance Business Technologies may advise customers that singular subscription services can be split into the two (2) different term commitment types under Clause 2 (a) to financially benefit customers that have a continual fluctuation in employees. In such instances, the singular subscription services will be split between eighty (80) percent Yearly Commitment with Monthly payments, and twenty (20) percent Monthly Commitment terms.
    3. Alliance Business Technologies will issue to the customer invoices for the cost of their Microsoft New Commerce Experience (NCE) subscription services in advance.
    4. All invoices must be paid within thirty (30) days of the due date of their invoice, and failure to pay an invoice will give rise to Alliance Business Technologies rights to the Restriction of Services under Clause 5.
  2. Addition and reduction of licensed seats 
    1. For additional licensed seat orders, customers will receive a prorated charge for the duration of the subscriptions’ term commitment.
    2. Subject to Clause 4 (c), a customer will no longer receive prorated refunds for the duration of the subscriptions’ term commitment.
    3. In respect of Clause 3 (a)(ii), if a customer requires to modify the quantity of licensed seats under a split subscription service, only licensed seats under the Monthly Commitment term will be modified.
  3. Price Variations
    1. Microsoft reserves the right to make changes to products, services, and pricing that they provide.
    2. Alliance Business Technologies reserves the right as a Microsoft Partner to make changes to products, services, and pricing in respect to Microsoft’s reservations.
    3. Customers will be provided at least thirty (30) days’ notice to any changes made to their Microsoft New Commerce Experience Subscription Services.

4. Cancellation Policy


  1. If the customer cancels any of their Microsoft NCE subscription services at any time before the expiry of the Minimum Term Commitment under Clause 2(b), the customer will need to pay any outstanding charges incurred.
  2. If the customer wants to exercise their right to cancel any of their Microsoft NCE subscription services after the expiry of the Minimum Term Commitment under Clause 2(b), the customer must provide Alliance Business Technologies at least thirty (30) days’ notice. If the customer does not provide at least thirty (30) days’ notice, then Alliance Business Technologies may not be able to process any cancellation requests within the Microsoft NCE subscription services Grace Period under Clause 4(c), and the subscription will continue for another minimum term commitment. After this point the customer is financially liable for the new committed term.
  3. Grace Period
    1. A customer can only reduce a licensed seat count or cancel a subscription commitment within seven (7) days of a new order or term renewal. After seven (7) days, the customer is financially liable for the rest of the committed term and their licensed seat count locked in.
  4. Refunds
    1. Microsoft NCE does not provide any refunds of unused licenses.

5. Restriction of Services


  1. If the customer has not paid their invoice within thirty (30) days of the due date of their invoice, Alliance Business Technologies reserves the right to: 
    1. suspend provision of the Microsoft New Commerce Experience (NCE) subscription services,
    2. suspend any other work that may be undertaken in relations to this service,
    3. give five (5) business days’ notice that we intend restrict the provisioning of the service.
  2. When your service is restricted, the following will occur:
    1. All Microsoft 365 apps and services within the customers’ Office 365 tenant will cease to function,
    2. the customer will not be able to send or receive emails or Microsoft Teams calls,
    3. Any other 3rd-party services associated to your Office 365 services may cease to function correctly.
    4. The customer will need to pay the amount they owe before the subscription services are reinstated.

6. Mid-Term Transfer Restriction for Microsoft 365 NCE Subscription Services


  1. Mid-Term Transfer Restriction:
    1. Customers acknowledge and agree that Microsoft New Commerce Experience (NCE) licensing purchased through Alliance Business Technologies cannot be transferred to another provider, distributor, or reseller mid-term. This restriction applies to all NCE licenses and remains in effect until the end of the current subscription term. Any desired changes or transfers must be scheduled to occur at the time of renewal.
    2. By purchasing NCE licenses through Alliance Business Technologies, the customer accepts this condition as part of the licensing agreement.

7. Termination of Services 


  1. If the customer has had their services restricted and the customer fails to rectify their account, Alliance Business Technologies may:
    1. Terminate the provision of the Microsoft New Commerce Experience (NCE) subscription services.
    2. Future applications for Alliance Business Technologies services may be adversely affected.
    3. Take any required recovery actions.

8. Limitations of Liability 


  1. Subject to Clause 4 (c), the customer accepts and acknowledges that they are liable for the total price and duration of any subscription and commitment term that they purchase.
  2. The customer accepts and acknowledges that at no time shall it be able to hold Alliance Business Technologies or claim any form of damages or liability against Alliance Business Technologies for any loss or damages arising from any direct, special, incidental, or consequential loss or damages arising from the provisioning of this quote. This includes but is not limited to any loss of profits, revenue, downtime or use of equipment, loss of data, costs, expenses, or outlays of the customer with respect to any restriction or termination of the Microsoft New Commerce Experience (NCE) subscription services.
